1. What a licence is
A licence is permission to use a creative work under agreed conditions. Lemmi Trade Corp, or the creators we work with, retain ownership of, and all intellectual property rights in, every product we sell. Your purchase grants you the rights set out here; it does not transfer ownership, copyright or any exclusive right in the work to you.
2. The standard licence you receive
Unless a listing says otherwise, every purchase includes our standard licence: a worldwide, non-exclusive, non-transferable, perpetual right to use the product for your own personal purposes and for the ordinary purposes of a single business that you own or operate. "Single business" means one company, practice, brand or self-employed individual. The licence covers the person or business that made the purchase.
3. What you may do
Under the standard licence you may download the product and keep your own backup copies for safekeeping. You may use templates, planners and worksheets for your own work and, where a product is designed to be filled in and shared as a finished document, share that completed document with your own clients or audience. You may customise design assets and graphics, and combine them with your own material, to create finished works such as a brand, a publication, a presentation or a printed piece. You may print printable products for your own use as often as you like.
4. What you may not do
You may not resell, sub-license, share, gift, lend or redistribute the original product files themselves, whether for free or for payment, and whether on their own or bundled with other items. You may not upload our files to a shared drive, marketplace, template library, forum or any other place where others could download the source product. You may not claim the product, or a lightly modified version of it, as your own original template or asset for others to use. You may not use the product to create a competing product whose main value is the resale or redistribution of what we made.
You may not remove, obscure or alter any copyright notice, credit or licence information embedded in a product, and you may not use our products in any unlawful, defamatory or harmful material.
5. Extended and commercial uses
If you want to use a product beyond a single business — for example across multiple brands you own, on behalf of several different clients as an agency, or embedded inside a product you will distribute at scale — you may need an extended licence. Some listings offer this at checkout; where they do not, contact the licensing desk and we will arrange terms that fit what you are building. Using a product beyond the scope of the licence you hold is a breach of this agreement.
6. Working with clients and teams
You may use a licensed product to produce work for your clients, and you may deliver the finished result to them. You may not, however, pass the underlying source files to a client or a third party so that they can reuse the template or asset independently; if your client needs their own reusable copy, they should obtain their own licence. Within a single business, members of your team may use the product to carry out the work of that business.
7. Attribution
The standard licence does not require you to credit Lemmi Trade Corp in your finished work, though a mention is always appreciated. Where a specific product's listing does ask for attribution — for instance certain free or specially licensed assets — that requirement forms part of the licence for that product and must be honoured.
8. Ownership and third-party elements
Some products may include or rely on third-party elements, such as fonts or stock imagery, that carry their own licences. Where that is the case, we will note it, and your use of those elements is governed by their respective terms. The rights we grant extend only to the parts of a product that we are entitled to license.
9. Duration and termination
The licence lasts for as long as you comply with this agreement. If you breach any material term — in particular the restrictions on resale and redistribution — the licence ends automatically, and you must stop using the product and delete the files in your possession. Ending the licence does not entitle you to a refund where none is due under our Refund & Cancellation Policy, and it does not limit any other remedy available to us or to the original creators.
10. No warranty of fitness
Our products are supplied as creative tools, on an "as is" basis. We take real care in making them, but we cannot guarantee that a given template or asset will be fit for a particular purpose you have in mind, or that it will work with every possible software version or device. You are responsible for checking that a product suits your needs before you rely on it in your own work.
11. Limitation of liability
To the fullest extent permitted by law, Lemmi Trade Corp is not liable for indirect or consequential loss arising from your use of, or inability to use, a licensed product, and our total liability in connection with any product is limited to the amount you paid for it. Nothing in this agreement excludes liability that cannot lawfully be excluded.
12. Changes to this agreement
We may revise this Digital License Agreement for products sold in the future. The licence that applies to a product you have already purchased is the one that was in force at the time of that purchase. The version published here, with the effective date shown at the top, is the current one for new purchases.
